4.2 Order Acceptance

Orders are subject to acceptance by Lavoshi Industries. We reserve the right to:

• New Customers: 100% advance payment
• Established Customers: 50% advance, 50% before delivery
• Credit Approved Customers: Net 30 days from invoice date
• Bulk Orders (>500kg): 30% advance, 70% against delivery
• Custom Products: 50% advance, 50% on completion

6. Delivery and Risk Transfer

• Standard delivery within Lucknow: 2-5 business days
• Uttar Pradesh deliveries: 5-10 business days
• Pan-India deliveries: 7-15 business days
• Custom products: 15-30 business days
• Bulk orders: Timeline specified in order confirmation

6.2 Delivery Options

• Ex-Works: Customer arranges pickup from our facility
• FOB Destination: We arrange delivery to customer location
• Third-party Logistics: Customer's preferred transporter
• Express Delivery: Available for urgent orders (additional charges apply)

6.3 Risk Transfer

Risk of loss or damage transfers to customer:

• Ex-Works: Upon pickup from our facility
• FOB Destination: Upon delivery and acceptance at customer location
• Customer must inspect goods immediately upon receipt
• Damage claims must be reported within 24 hours
• Transit insurance is customer's responsibility unless agreed otherwise

10.2 Confidentiality Period

• Confidentiality obligations survive contract termination

11. Limitation of Liability

• War, terrorism, civil unrest, or political instability
• Pandemics, epidemics, or public health emergencies
• Labor strikes, lockouts, or industrial disputes
• Supplier failures, raw material shortages, or supply chain disruptions
• Transportation breakdowns or logistics failures
• Fire, explosion, equipment failure, or utility outages
• Cyberattacks, system failures, or technological disruptions

13. Termination

Either party may terminate the relationship:

• Upon material breach of terms (30 days written notice)
• For convenience with 60 days written notice
• Immediately for insolvency or bankruptcy
• For repeated quality or delivery failures
• For violation of confidentiality or IP rights

13.2 Termination Effects

• Completion of orders in progress (unless terminated for cause)
• Settlement of outstanding payments and obligations
• Return of confidential information and materials
• Survival of confidentiality and IP obligations
• Final accounting and closure of business relationship

14. Dispute Resolution

Disputes shall be resolved in the following order:

1. Good faith negotiations between parties (30 days)
2. Mediation through mutually agreed mediator (45 days)
3. Arbitration under Indian Arbitration and Conciliation Act
